1. Introduction and Acceptance

Wafrat Alnamae Company is a company incorporated in the Kingdom of Saudi Arabia under Unified Number 7051717721, with its registered address at Al Malqa District, Imam Saud ibn Faisal Road, Riyadh, Kingdom of Saudi Arabia ("Wafra", "we", "us", or "our").

Wafra operates a digital wealth platform that enables you to record and view your assets and liabilities, monitor your net worth, and access financial tools (the "Platform" and, together with related websites, mobile applications, and services, the "Services").

These Terms and Conditions (the "Terms"), together with our Privacy Policy and any supplemental terms published for specific features, form a legally binding agreement between you and Wafra.

You accept these Terms by affirmatively confirming your acceptance during registration, using an unticked checkbox presented with a link to these Terms. By continuing to use the Services, you reconfirm that acceptance.

If you do not agree to these Terms, you must not register for or use the Services. We keep a record of the version you accepted and the date of acceptance. Previous versions are available on request.

2. Eligibility and Account Registration

2.1 Eligibility

You must be a natural person aged 18 or older with full legal capacity, using the Services for your own personal, non-commercial purposes and not on behalf of anyone else. The Services are offered to individuals only, and you may hold only one account.

2.2 Identity verification

Residents of Saudi Arabia who are Saudi nationals or Iqama holders are verified through the national digital identity service, Nafath, and related government or government-linked verification services. Access for nationals of other GCC states is not yet available and may be introduced once a dedicated verification process is in place, under terms announced at that time.

We may request additional information or documents at any time to verify your identity, comply with applicable law, including anti-money-laundering and counter-terrorist-financing requirements, or protect the Platform. We may refuse, suspend, or close an account where verification cannot be completed or where required by law.

2.3 Accuracy

You must provide accurate, current, and complete information at registration and keep it updated. We are entitled to rely on the information you provide. Inaccurate entries, including asset and liability values you record manually, will affect the figures the Platform displays.

2.4 Security

You are responsible for keeping your credentials, passcode, and device-level security features confidential and secure, and for activity that occurs under your account, except to the extent that activity results from our breach of these Terms or our failure to implement reasonable security measures. You must notify us immediately at [email protected] or through in-app support if you suspect unauthorized access to or use of your account.

We are not liable for losses arising from your failure to protect your credentials or devices, except where those losses result from our own breach of these Terms or applicable law.

3. The Services

3.1 Available features

Depending on your account and the features enabled at the time, the Services may allow you to:

  • Record assets and liabilities manually.
  • Use optional AI-assisted import features, such as document, credit-report, or voice import, to extract data for your review, where available and subject to the separate notices and consents described in the Optional AI-Assisted Import Features section of the Privacy Policy.
  • View a consolidated net-worth dashboard and analytics.
  • Use financial calculators and planning tools.
  • Create and track financial goals.
  • Access market information for informational purposes only.
  • Link external accounts through licensed open-banking providers where available, as described in Section 5.
  • Subscribe to premium tiers where offered, as described in Section 6.

3.2 Availability and changes

Features may be introduced progressively, to limited groups, or in certain regions only. Inclusion of a feature in these Terms is not a commitment that it is currently or will become available.

We may add, modify, suspend, or discontinue any part of the Services at any time and do not guarantee uninterrupted or error-free operation. If we discontinue a paid Service, prepaid amounts for periods after discontinuation will be refunded pro rata. A material reduction of a paid feature during a subscription period is treated as a material change under Section 15.

Features labeled beta, preview, or experimental are provided for evaluation, may be modified or withdrawn at any time, and may be subject to additional terms presented at the point of use.

4. Important Notice: No Investment Advice; No Regulated Activities

Please read this Section carefully. It describes what the Services are and what they are not.

4.1 Informational tool

The Platform is a personal financial information, aggregation, and organization tool. All content, data, dashboards, calculators, projections, and other outputs of the Services (the "Content") are provided for general informational purposes only.

4.2 No professional advice or transaction offer

Nothing on the Platform constitutes, or should be construed as:

  • Investment advice or a recommendation to buy, sell, hold, or otherwise deal in any security, financial instrument, or asset.
  • Financial, legal, tax, zakat, accounting, or other professional advice.
  • An offer, solicitation, or invitation to enter into any transaction.

You are solely responsible for your own financial decisions and should consider seeking advice from an appropriately licensed professional adviser before making them.

4.3 No regulated activities

Wafra does not, through the Platform, carry out any securities business requiring authorization under the Capital Market Law and the regulations of the Capital Market Authority ("CMA"), including dealing, arranging, managing investments, advising, or custody.

Wafra does not accept deposits or hold client money or assets; execute, transmit, or arrange transactions in securities on your behalf; or manage investments or portfolios on your behalf.

Any regulated services introduced in the future will be provided only under the required licenses and separate agreements and disclosures made available at that time.

4.4 Calculators, projections, and market information

Calculator, planning-tool, and projection outputs are illustrative only. They are based on your inputs and general assumptions and do not predict or guarantee any outcome, return, or result.

Market information is obtained from third-party sources believed to be reliable but may be delayed, incomplete, or inaccurate. It is provided without warranty and should not be relied on as the basis for any transaction or decision. Past performance is not indicative of future results.

5. Account Linking and Third-Party Services

5.1 Account linking

Where available, you may connect external bank or financial accounts to the Platform through third-party open-banking or account-information providers licensed by the Saudi Central Bank (SAMA) under the applicable open-banking framework. If you use this feature:

  • You authorize the provider to access and share your account information with Wafra for display within the Platform.
  • The provider's own terms and privacy policy apply to its services.
  • Linking is used for read-only aggregation and does not enable Wafra to move funds, execute transactions, or operate your external accounts.
  • Wafra does not collect or store your online-banking credentials. Authentication takes place through the provider's or your bank's own secure channels.

Before you first use account linking, we will present feature-specific terms identifying the provider, the data accessed, the permission duration, and how to review and revoke your consent.

5.2 Third-party data and services

Information retrieved from linked accounts depends on third-party availability, accuracy, and timeliness. Balances and transactions shown on the Platform may be delayed or differ from your bank's records, which remain the authoritative source.

Identity verification relies on government and government-linked verification services, for example Nafath and Yakeen, subject to their applicable terms.

The Platform may link to or integrate with other third-party websites, applications, or services, including app stores. We do not control and are not responsible for them. Your use of them is at your own risk and subject to their terms.

6. Fees, Subscriptions, and Billing

6.1 Introduction of fees

The Services are currently provided free of charge. If we introduce fees or paid tiers:

  • We will give you at least thirty (30) days' notice by email, in-app notification, and/or a prominent notice on the Platform.
  • Prices, billing frequency, and payment methods will be clearly disclosed before you are charged.
  • You will not be charged for any paid feature unless you actively subscribe to it.
  • You may stop using the relevant features or close your account before the fees take effect.

6.2 Subscription terms

Where subscriptions are offered:

  • The price, billing period, and included features will be displayed before purchase.
  • Payment will be collected through the applicable app-store billing system or a licensed payment service provider.
  • Subscriptions may renew automatically at the end of each billing period unless cancelled before renewal. Renewal terms, and a reminder where practicable, will be disclosed at purchase.
  • You may cancel at any time through the Platform or the app store. Cancellation takes effect at the end of the current billing period unless stated otherwise.
  • Refunds will be handled in accordance with your mandatory rights under the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law. App-store or payment-provider policies apply only to the extent they do not reduce those rights.

6.3 Payments and taxes

Payments under this Section are payments to Wafra for the Services only. The Platform does not provide money-transfer, remittance, or payment services between you and any third party, and Wafra does not hold funds on your behalf.

Consumer prices will be displayed inclusive of VAT and other applicable taxes in accordance with ZATCA requirements, with the tax amount itemized on the invoice or receipt.

7. User Obligations and Acceptable Use

7.1 Lawful use

You must use the Services only for lawful purposes, in accordance with these Terms, the laws and regulations of the Kingdom of Saudi Arabia, and any usage guidelines we publish. You represent that you are not subject to sanctions applicable to you or to Wafra.

7.2 Prohibited conduct

You must not:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose, including money laundering, terrorist financing, or sanctions evasion.
  • Access another person's account, record another person's financial information without lawful authority, or impersonate any person.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or connected systems, or introduce malware or other harmful code.
  • Scrape, harvest, or extract data by automated means, or use the Platform to build a competing product or dataset.
  • Reverse engineer, decompile, or disassemble any part of the Platform, except to the extent that restriction is prohibited by law; remove proprietary notices; or resell, sublicense, or commercially exploit the Services without our prior written consent.

7.3 Cooperation and enforcement

You agree to cooperate with reasonable requests relating to identity verification, security investigations, or legal and regulatory compliance. If we reasonably believe you have breached these Terms, we may suspend or terminate your access under Section 14 and may report unlawful activity to the competent authorities.

8. Intellectual Property

8.1 Wafra materials

The Platform and all associated software, design, text, graphics, logos, trademarks, databases, and other content, excluding Your Content, are owned by or licensed to Wafra and protected by the intellectual-property laws of the Kingdom of Saudi Arabia and international treaties. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Platform for your own personal, non-commercial use. No other rights are granted.

8.2 Your Content

"Your Content" means the information and data you enter into or connect to the Platform, including asset and liability details, goals, and preferences. You retain all rights you hold in Your Content and grant Wafra a limited license to host, store, process, and display it solely to the extent necessary to provide and improve the Services, in accordance with these Terms and the Privacy Policy.

You are responsible for being entitled to provide Your Content and for ensuring that it does not infringe third-party rights. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

9. Privacy and Your Data

9.1 Privacy Policy

Our collection, use, storage, sharing, and protection of your personal data are described in our Privacy Policy, which forms part of your agreement with us. We process personal data in accordance with the Saudi Personal Data Protection Law (PDPL) and its Implementing Regulation. Where a feature requires your consent, for example account linking or optional AI-assisted import features, consent is obtained and may be withdrawn as described in the Privacy Policy.

9.2 Data export

You may request an export of the data you have recorded on the Platform in a commonly used electronic format at any time before your account is closed.

10. Sharia Compliance Notice

Wafra does not represent, warrant, or certify that any asset, security, instrument, product, or Content displayed on or accessible through the Platform is compliant with the principles of Islamic Sharia. Any Sharia-related classifications, labels, or screens are derived from third-party sources, are provided for informational purposes only, and should not be relied on as a determination of Sharia compliance. If Sharia compliance is important to your financial decisions, you should seek guidance from a qualified Sharia scholar or adviser of your choice.

11. Disclaimers

To the maximum extent permitted by applicable law:

  • The Services and all Content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
  • We do not warrant that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free.
  • We do not warrant the accuracy, completeness, or timeliness of any Content, including figures derived from information you enter manually or obtained from third parties.
  • Any reliance you place on the Services or the Content is at your own risk.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under the laws of the Kingdom of Saudi Arabia.

12. Limitation of Liability

12.1 Excluded losses

To the maximum extent permitted by applicable law, Wafra and its shareholders, directors, officers, employees, and agents are not liable for:

  • Indirect, incidental, special, consequential, or exemplary damages.
  • Loss of profits, revenue, savings, opportunity, goodwill, or data.
  • Loss arising from financial or investment decisions you make, or refrain from making, in connection with the Services or the Content.
  • Loss arising from errors in entries extracted by an AI-assisted import feature that you reviewed and confirmed before saving, as described in the Optional AI-Assisted Import Features section of the Privacy Policy.
  • Loss arising from acts or omissions of third parties, including banks, data providers, open-banking providers, app stores, or telecommunications networks.
  • Events beyond our reasonable control, as described in Section 18.

12.2 Liability cap

To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or in connection with these Terms or the Services will not exceed the greater of: (a) the total fees you paid to Wafra in the twelve (12) months preceding the event giving rise to the claim; or (b) SAR 1,000.

12.3 Non-excludable liability

Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, or any other liability that cannot be excluded or limited under the laws of the Kingdom of Saudi Arabia.

13. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Wafra and its shareholders, directors, officers, employees, and agents against claims, liabilities, damages, losses, and reasonable expenses, including legal fees, arising out of your breach of these Terms, your misuse of the Services, or your violation of applicable law or third-party rights. This Section does not apply to the extent a claim arises from our own breach of these Terms or applicable law.

14. Suspension and Termination

14.1 By you

You may stop using the Services at any time and may request account closure through the Platform settings or by contacting [email protected].

14.2 By Wafra

We may suspend or terminate your access to some or all of the Services, with notice where practicable, if:

  • You materially breach these Terms.
  • We are required to do so by law, regulation, or a competent authority.
  • We reasonably suspect fraud, unlawful activity, or a security risk.
  • Identity verification cannot be completed or maintained.
  • Your account has been inactive for twelve (12) consecutive months and remains unused thirty (30) days after we notify you.

14.3 Death or incapacity

If we receive satisfactory evidence of a user's death or loss of legal capacity, we will close the account at the request of a legal heir, executor, or guardian. Account data will be disclosed only as required by applicable law and in accordance with the Privacy Policy.

14.4 Effect of termination

On termination, your license to use the Platform ends and access is disabled; your personal data is retained or deleted in accordance with the Privacy Policy and applicable law; and Sections 4, 8, 10, 11, 12, 13, 16, 17, 19, 20, and 21 survive.

15. Changes to the Services and These Terms

15.1 Changes and notice

We may update these Terms to reflect changes in the Services, applicable laws or regulatory guidance, or feedback from users or regulators. For material changes, we will notify you by email, in-app notification, and/or prominent notice at least thirty (30) days before the change takes effect where reasonably practicable, and will obtain your consent where required by law. Non-material changes take effect when the updated Terms are published on our website and application.

15.2 Your choices

If you do not agree to updated Terms, you may stop using the Services and close your account before the changes take effect. Continued use after the effective date constitutes acceptance. However, changes that introduce a new payment obligation or expand a consent-based use of your personal data take effect for you only upon your affirmative acceptance or consent.

16. Communications and Notices

You consent to receive communications from us electronically by email, in-app notification, SMS, or notices published on the Platform, and agree that electronic communications satisfy any legal requirement that a communication be in writing. Notices to you are deemed received twenty-four (24) hours after being sent to the contact details registered on your account, or upon publication on the Platform accompanied by an in-app notification. You are responsible for keeping your contact details up to date. Notices to Wafra should be sent to [email protected] or the postal address in Section 21.

17. Complaints

If you have a complaint, contact us first at [email protected] or through in-app support. We will acknowledge your complaint promptly with a reference number and aim to provide an initial response within fifteen (15) business days.

If you are not satisfied with the outcome, you may refer the matter to the competent authority for the subject of your complaint: the Ministry of Commerce for consumer and e-commerce matters, or the authority identified in our Privacy Policy for personal-data matters.

18. Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, terrorism, civil unrest, labor disputes, power or telecommunications failures, failures of third-party providers, cyberattacks, or acts of government or regulators, in each case only to the extent that the event and its consequences could not reasonably have been prevented or mitigated through appropriate security, resilience, and vendor-management measures on our part.

19. General Provisions

These Terms, together with the Privacy Policy and any supplemental feature terms, constitute the entire agreement between you and Wafra regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer your rights or obligations under these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or restructuring, subject to applicable law. Nothing in these Terms creates any partnership, agency, employment, or fiduciary relationship. Headings are for convenience only.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising from or relating to these Terms or the Services is subject to the exclusive jurisdiction of the competent courts and judicial committees in Riyadh, Kingdom of Saudi Arabia, unless otherwise required by applicable law.

21.2 Language

These Terms are published in Arabic and English. If the two versions are inconsistent, the Arabic version prevails to the extent permitted by applicable law.
